These Terms of Service (these “Terms”) set forth the conditions applicable to the use of “BotShade” (the “Service”), a no-code Discord Bot development and operation support service provided by VorEdge Inc. (the “Company”).

Chapter 1. General Provisions

Article 1 (Scope of Application)

  1. These Terms apply to all relationships between the Company and Users relating to the use of the Service.
  2. Any individual or corporation that has completed registration to use the Service (the “User”) shall use the Service after agreeing to all provisions of these Terms.
  3. Chapter 6, Article 1 and Chapter 7, Article 1 shall also apply to any person who browses the website of the Service or the Server Board (as defined in Chapter 5, Article 8, Paragraph 1) without completing registration.

Article 2 (Definitions)

The terms used in these Terms shall be defined as follows.

  • “Service” means the Discord Bot development and hosting service “BotShade” provided by the Company, together with its related website, dashboard, documentation, API, and other related features, collectively.
  • “User” means any individual or corporation that has registered to use the Service after agreeing to these Terms.
  • “Paid Plan” means any part or all of the Service made available to a User in consideration of payment to the Company.
  • “Bot Token” means the authentication token that a User obtains through the Discord Developer Portal or otherwise and registers on the Service in order to operate a Bot.
  • “User Content” means any and all information created, registered, entered, or uploaded by a User through the Service (including command settings, trigger logic, Embed settings, response messages, images, text, and the like).
  • “Discord End User” means a Discord user who interacts with a Discord Bot operated by a User on a Discord server into which such Bot has been introduced.
  • “BotShader” means the AI assistant feature, including AI chat functionality, provided within the Service.
  • “AI Input Data” means the input content (prompts, contextual information, reference materials, etc.) that a User voluntarily submits to AI for the purpose of using BotShader or other AI features.
  • “Individual Provisions” means the general term for provisions separately established by the Company in relation to the Service, including the Privacy Policy, the Notice under the Specified Commercial Transactions Act, the Affiliate Program Terms, and various guidelines.

Article 3 (Agreement to These Terms)

  1. A User shall be deemed to have agreed to these Terms at the time of commencing the use of the Service.
  2. Where a User uses the Service on behalf of a corporation, such representative warrants that they have the authority to cause such corporation to agree to these Terms.

Article 4 (Relationship with Individual Provisions)

  1. Individual Provisions shall, regardless of their designation, constitute an integral part of these Terms.
  2. In the event of any conflict between these Terms and any Individual Provision, such Individual Provision shall prevail.
  3. Notwithstanding the preceding paragraph, the provisions of Chapter 10 (Disclaimer of Warranties and Limitation of Liability) and Chapter 13 (Governing Law and Jurisdiction) shall prevail over any Individual Provision, except where such Individual Provision expressly states that it prevails over these Terms.
  4. Where the Company newly establishes or amends any Individual Provision, the procedures set forth in Chapter 12, Article 1 (Amendment of These Terms) shall apply mutatis mutandis.

Chapter 2. Account and Registration

Article 1 (Registration and Refusal of Registration)

  1. Registration to use the Service shall be completed when a prospective user, having agreed to these Terms, applies by submitting the matters prescribed by the Company (the “Registration Matters”) in the manner prescribed by the Company, and the Company approves such application.
  2. The Company may refuse to approve an application for registration if the Company determines that the applicant falls under any of the following items. The Company shall not be obligated to disclose the reason for any such refusal.
  • The applicant has submitted false information in connection with the application
  • The application is made by a person who has previously violated these Terms
  • The applicant falls within the anti-social forces described in Chapter 9
  • The Company otherwise reasonably determines that the registration is not appropriate
  1. If there is any change to the Registration Matters, the User shall notify the Company of such change without delay in the manner prescribed by the Company.

Article 2 (Responsibility for Management of Account and Authentication Information)

  1. The User shall, at their own responsibility, appropriately manage the authentication means used to log in to the Service (email address, passkey, social login account, and the like) and confidential information such as the Bot Token registered on the Service.
  2. The User shall not transfer, lend, or share their authentication information or Bot Token to or with any third party, nor disclose the same in a public repository or any other place viewable by an unspecified number of persons.
  3. Any and all acts performed using a User’s authentication information or Bot Token (including operations on the Service, consumption of resources, charges incurred, and the operation of a Bot on a Discord server) shall be deemed to be acts performed by such User. However, this shall not apply where such acts arise from the Company’s willful misconduct or gross negligence, or from causes not attributable to the User.
  4. If a User becomes aware of any leakage or unauthorized use of their authentication information or Bot Token, the User shall immediately notify the Company and take measures such as immediately regenerating (resetting) the Bot Token on the Discord Developer Portal.

Article 3 (Use by Minors; Exclusion of Fraudulent Means)

  1. Persons under 13 years of age may not use the Service.
  2. Where a minor who is 13 years of age or older but under 18 years of age uses the Service (including entering into a Paid Plan), such minor shall obtain the comprehensive prior consent of their statutory agent (such as a person with parental authority).
  3. Where a minor User uses the Service by falsely representing that they have reached the age of majority, or registers for or makes payment under a Paid Plan by falsely representing that they have obtained the consent of their statutory agent, or otherwise employs fraudulent means as set forth in Article 21 of the Civil Code, neither such User nor their statutory agent may rescind any juristic act relating to the Service.

Chapter 3. Fees and Payment

Article 1 (Fee Structure and Free Plan)

  1. The Service consists of a plan available free of charge (the “Free Plan”) and Paid Plans.
  2. The Company may, at its discretion, change the content, features provided, and resource limits (such as the number of executable commands and the number of concurrent connections) of the Free Plan. However, where the Company discontinues a material feature provided under the Free Plan or substantially lowers its resource limits, Chapter 5, Article 2, Paragraph 2 shall apply.
  3. The content, fees, billing cycle, and contract period of each Paid Plan shall be as displayed on the pricing page of the website of the Service or within the dashboard.

Article 2 (Payment Method; Automatic Renewal)

  1. Payment of fees for Paid Plans shall be made by credit card payment or other methods through a payment processing provider designated by the Company (such as Stripe).
  2. Unless the User completes the cancellation procedures by the day before the next renewal date, a Paid Plan shall be automatically renewed upon expiration of the contract period for the same period (at the revised fee, where the fee has been changed pursuant to Article 5).
  3. Upon renewal, payment shall be automatically processed using the payment method registered as of the time of renewal.

Article 3 (Consumption Tax and Qualified Invoices)

  1. Unless otherwise expressly stated, fees displayed in these Terms and within the Service are inclusive of consumption tax.
  2. Where the Company is registered as a qualified invoice issuer, the Company shall issue a qualified invoice upon a User’s request.

Article 4 (Late Payment)

  1. Where a User delays payment of fees and such payment cannot be confirmed within 7 days after the payment due date, the Company may, upon notice to the User, suspend the features of the relevant Paid Plan or downgrade the User to the Free Plan. In such case, the demand set forth in Chapter 8, Article 2 shall not be required.
  2. In the case of the preceding paragraph, the Company may claim late payment damages at the rate of 14.6% per annum.
  3. Restriction of use and termination of registration on the grounds of non-performance of payment obligations shall be governed by Chapter 8, Article 2.

Article 5 (Changes to Fees)

  1. The Company may change the fees for the Service within a reasonable scope, taking into account changes in infrastructure costs, raw material costs, subcontractor costs, taxation, laws and regulations, and other circumstances.
  2. Any fee change applicable to existing Users shall be notified no later than 30 days prior to the next renewal date and shall apply from the next renewal.
  3. If a User does not agree to the revised fee, the User may, by completing the cancellation procedures set forth in Chapter 4, Article 1 by the day before the renewal date on which the revised fee would apply, terminate the Paid Plan upon expiration of the then-current contract period without being subject to the revised fee.

Article 6 (AI Usage Allowance)

  1. The volume of BotShader and other AI features that a User may use on the Service shall be within the limits prescribed by the Company for each plan (the “AI Usage Allowance”). The amount of AI Usage Allowance consumed varies depending on the AI model used and the nature of the processing.
  2. The AI Usage Allowance is granted for each monthly cycle prescribed by the Company and expires on the last day of such cycle. Unused AI Usage Allowance may not be carried over to the following cycle.
  3. The AI Usage Allowance is included in the content provided under the Free Plan or a Paid Plan, and a User does not purchase the AI Usage Allowance itself on a stand-alone basis. The Company shall not provide any refund or other monetary settlement in respect of unused AI Usage Allowance.
  4. The Company may change the limits of the AI Usage Allowance, the method of calculating consumption, and the AI models covered. With respect to any change that may be disadvantageous to Users, the Company shall give notice no later than 30 days prior to the effective date in accordance with Chapter 5, Article 2, Paragraph 2.

Chapter 4. Cancellation, Withdrawal, and Refunds

Article 1 (Cancellation)

  1. A User may at any time stop (cancel) the next automatic renewal of a Paid Plan by completing the prescribed cancellation procedures from the dashboard of the Service.
  2. Where cancellation by the method set forth in the preceding paragraph is difficult (due to a failure of the dashboard, loss of authentication means, suspension of use imposed by the Company, or the like), the User may submit a request for cancellation by email to the Company’s contact point (help@botshade.com). The User shall be deemed to have completed the cancellation procedures under Paragraph 1 as of the date on which such request reaches the Company.
  3. Even after completion of the cancellation procedures, the User may continue to use the features of the Paid Plan until the expiration date of the then-current contract period.
  4. Where charges arise from automatic renewal during a period in which the User was unable to complete the cancellation procedures under Paragraph 1 due to causes attributable to the Company, the Company shall refund the amount of such charges.

Article 2 (No Refunds as a General Rule)

  1. The Company shall not provide any pro-rata daily or monthly refund, or any other refund of fees corresponding to the unexpired portion of the contract period, in the case of cancellation of a Paid Plan during the contract period at the User’s own convenience.
  2. Notwithstanding the preceding paragraph, where the core features of the Service have been entirely unavailable continuously for 30 days or more due to causes attributable to the Company or due to events arising from the external services set forth in Chapter 5, Article 6, the User may claim from the Company a refund of an amount equivalent to the monthly fee corresponding to the period of such unavailability.
  3. Notwithstanding Paragraph 1, where the Company terminates the Service in its entirety, or where the Company discontinues the provision of the Paid Plan to which a User subscribes for the Company’s own convenience, the Company shall refund to the User the fees corresponding to the unexpired period from the date of termination onward.
  4. Notwithstanding Paragraph 1, where the Company discontinues a material feature of a Paid Plan or substantially reduces the content provided, the User may, by the effective date, submit a request to terminate such Paid Plan on the grounds of such change, through the cancellation procedures set forth in Article 1, Paragraph 1 or the email request set forth in Article 1, Paragraph 2. In such case, notwithstanding Article 1, Paragraph 3, such Paid Plan shall terminate on the effective date or the expiration date of the then-current contract period, whichever is earlier, and the Company shall refund the fees corresponding to the unexpired period from the date of termination onward. If the User does not submit such request by the effective date, such Paid Plan shall continue with the revised content, which shall not preclude cancellation under Article 1.
  5. Where termination of registration or rescission under Chapter 8, Chapter 9, or Chapter 12, Article 7, Paragraph 6 is due to causes attributable to the User, the Company shall not refund the fees for the month in which the date of termination of registration or the date of rescission falls (for annual plans, the one-month period, counted from the commencement date of the contract period, that includes such date). For annual plans, the Company shall refund the fees corresponding to the periods from the following month onward. Where a restriction of use under Chapter 3, Article 4, Paragraph 1 or Chapter 8 (including the measures under Chapter 8, Article 1) is due to causes attributable to the User, the Company shall not refund the fees corresponding to the period of such restriction. Where the cause of any of these measures is not attributable to the User, the Company shall refund, in the case of termination of registration or rescission, the fees corresponding to the unexpired period from the date of termination of registration or the date of rescission onward, and, in the case of a restriction of use, the fees corresponding to the period during which such restriction continued. These measures do not constitute a discontinuation of the provision of a Paid Plan for the Company’s own convenience as referred to in Paragraph 3.

Article 3 (Withdrawal and Handling of Data after Withdrawal)

  1. A User may withdraw from their account for the Service in the manner prescribed by the Company.
  2. Upon withdrawal, the Company shall completely erase the User’s account information, registered Bot Token, configuration data, and User Content after the lapse of a grace period of 14 days from the date of withdrawal. The Company cannot accommodate requests to restore data after erasure.
  3. Where a User withdraws during the contract period of a paid plan, notwithstanding Chapter 4, Article 2, Paragraph 1, the Company shall refund to the User the fees corresponding to the unexpired period from and after the date on which the erasure under the preceding paragraph is carried out.
  4. Notwithstanding Paragraph 2, this shall not apply to information whose retention is required by laws and regulations, information necessary for handling disputes, information remaining due to the backup update cycle, and logs and other information retained in accordance with the retention periods set forth in the Privacy Policy.
  5. The procedures for requests for cessation of use, erasure, and other requests under the Act on the Protection of Personal Information shall be governed by the Privacy Policy.

Chapter 5. Provision of the Service and Responsibility for Bot Operation

Article 1 (Form of Provision and Best-Effort Basis)

  1. The Company provides a no-code environment for building and hosting Discord Bots.
  2. The Service is provided on a best-effort basis, and the Company does not warrant the constant connectivity of Bots, any uptime rate (SLA), or the immediacy of message delivery. The Service may be temporarily suspended due to maintenance, system failures, or the like.
  3. Notwithstanding the preceding paragraph, the treatment of cases in which the Service is entirely unavailable continuously for 30 days or more shall be governed by Chapter 4, Article 2, Paragraph 2.

Article 2 (Change, Suspension, and Termination of the Service)

  1. The Company may make minor changes to the Service (such as bug fixes, improvements to the UI, operational adjustments, and the addition of new features, being changes that cannot be disadvantageous to Users) without prior notice.
  2. With respect to the discontinuation of material features, migration from the Free Plan to a Paid Plan, and other changes that may have a material impact on Users, the Company shall notify Users no later than 30 days prior to the effective date.
  3. Where the Company terminates the Service in its entirety, the Company shall notify Users no later than 30 days prior to the scheduled termination date.

Article 3 (Maintenance and Temporary Suspension of Provision)

The Company may temporarily suspend the provision of all or part of the Service, with or without prior notice to Users, where there is maintenance of the Service, a response to a system failure, or any other cause that the Company deems necessary.

Article 4 (User Responsibility for Bot Configuration and Operation)

  1. The commands, permission settings, trigger conditions, custom responses, external Webhook integrations, and other settings of a Bot created by a User through the Service (the “Bot Logic”) shall be built and managed entirely at the User’s own responsibility.
  2. Except where due to causes attributable to the Company, the Company shall not be liable for any damage incurred by the User themselves, the Discord server into which the Bot has been introduced, Discord End Users, or any third party (including damage from server raids, deletion of channels or messages, banning of members, and loss of data) arising from errors by the User in configuring the Bot Logic, the granting of inappropriate execution permissions (such as making administrator permissions publicly available), or inadequate management of the Bot Token by the User.

Article 5 (Compliance with Discord’s Policies and Disclaimer)

  1. The User shall operate their Bot in compliance with Discord’s terms of service, community guidelines, Developer Terms of Service, and Developer Policy.
  2. The Company does not warrant the outcome of Discord’s approval or refusal of Privileged Intents, the result of Bot verification, API rate limit restrictions, or the suspension or deletion of a Bot account. Except in the cases set forth in Chapter 4, Article 2, Paragraph 2 and except where due to causes attributable to the Company, the Company shall bear no liability for refund of fees or for damages even if features of the Service become unavailable as a result of the foregoing.

Article 6 (Relationship with External Services)

  1. The Service integrates with services provided by Discord, Stripe, Cloudflare, AI providers, and other third parties (the “External Services”).
  2. Except where due to causes attributable to the Company, the Company shall not be liable for any defect in the Service arising from changes to the specifications of External Services, failures, suspension of provision, changes to their terms of service, or other causes attributable to External Services.
  3. Claims regarding content that infringes the rights of third parties should be directed to abuse@botshade.com. Upon receipt of such a claim, the Company will respond to the extent necessary and reasonable in accordance with applicable laws and regulations.
  4. Where the Company receives a claim of rights infringement from a third party in respect of content transmitted by a User’s Bot, the Company may take measures to prevent the transmission of such content in accordance with the Act on Countermeasures against Information Distribution Platforms and other laws and regulations. The Company may inquire of the User for their views pursuant to such Act, and the User shall respond within 7 days from the date of receipt of such inquiry.
  5. Where the Company receives a request for disclosure of sender information under the Act on Countermeasures against Information Distribution Platforms or a court order for disclosure, the Company may disclose the User’s Registration Matters and other sender information in accordance with laws and regulations.

Article 7 (Relationship with Discord End Users)

  1. With respect to the data of Discord End Users collected and processed by their own Bot, the User bears the responsibility of a controller to carry out lawful acquisition, management, and deletion handling in accordance with the Act on the Protection of Personal Information and other applicable laws and regulations. The Company handles such data as data entrusted to it by the User to the extent necessary for the provision of the Service (the handling where the User does not qualify as a business operator handling personal information under the Act on the Protection of Personal Information is set forth in the Privacy Policy).
  2. Where a third party makes a claim for damages, a deletion request, or any other claim against the Company arising from the content transmitted by a User’s Bot or its data collection, the User shall, only where such claim is due to causes attributable to the User, defend the Company at the User’s own cost and responsibility and indemnify the Company for damages incurred by the Company (including reasonable attorneys’ fees). However, this shall not apply where such claim arises from the Company’s willful misconduct or gross negligence.
  3. The Company shall handle the data of Discord End Users set forth in Paragraph 1 only for the User and only to the extent necessary for the provision of the Service and within the scope of the purposes of use set forth in the Privacy Policy, and shall not use such data for any other purpose, including the Company’s own purposes. In handling such data, the Company shall comply with the restrictions that Discord’s Developer Terms of Service and Developer Policy impose on data obtained through the API (including those concerning limitation of purposes of use, restrictions on sharing with third parties, security control, and deletion).

Article 8 (Server Board)

  1. Where the administrator of a Discord server into which a User’s Bot has been introduced registers the server’s information (server name, description, invitation link, tags, member count, icon and banner images, and the like; the “Listed Information”) through the prescribed command of the Bot, the Company will list such information on the board on the website of the Service (the “Server Board”). The Listed Information is made available to an unspecified number of persons and may be provided through search engines and the API. The Company handles the Listed Information and the records relating to registration under its own responsibility, and such information is not included in the scope of the entrustment set forth in Article 7, Paragraph 1.
  2. A person who registers with the Server Board (the “Registrant”) shall register after agreeing to the listing conditions displayed at the time of registration, and shall bear responsibility for the content of the Listed Information. This Article and Chapter 6, Article 1 shall apply to a Registrant even where the Registrant is not a User under these Terms.
  3. A Registrant shall not list information that infringes the rights of third parties, false information, information contrary to public order and morals, or any other information falling under any item of Chapter 6, Article 1.
  4. Where the Company determines that the Listed Information violates the preceding paragraph or does not conform to the listing criteria prescribed by the Company, or where the Company otherwise deems it necessary, the Company may suspend or delete the listing without prior notice to the Registrant.
  5. The provisions of Article 6, Paragraphs 4 and 5 shall apply mutatis mutandis to the Listed Information. In such case, “User” in those provisions shall be read as “Registrant”.
  6. Requests for deletion of, and claims of rights infringement regarding, the Listed Information shall be accepted at the contact point set forth in Article 6, Paragraph 3.

Article 8-2 (Command Market)

  1. The Company lists custom commands and other Bot Logic that a User has published using the prescribed feature of the Service (the “Published Commands”) on the market within the Service (the “Command Market”), so that other Users may import them into their own Bots. The name, description, flow structure, and the display name of the publishing User of a Published Command are displayed to other Users.
  2. A User who publishes a Published Command (the “Publisher”) grants to the Company and other Users a free, non-exclusive, worldwide right to use the Published Command for the purposes of listing it on the Command Market, importing it into other Users’ own Bots and using it in such Bots, and the reproduction, modification, and public transmission incidental thereto, and shall not exercise moral rights of authorship against the Company or other Users. The Publisher warrants that they have the authority to grant the license under this Paragraph in respect of the Published Command, and shall not publish any command that infringes the rights of third parties, any command contrary to public order and morals, or any other command falling under any item of Chapter 6, Article 1.
  3. A Publisher may terminate the publication of a Published Command at any time. Termination of publication, withdrawal, or termination of registration shall not affect the license under the preceding paragraph with respect to Published Commands previously imported by other Users.
  4. A User who imports a Published Command into their own Bot shall use it after having themselves verified its content and behavior, and the imported Published Command shall, as Bot Logic set forth in Article 4, Paragraph 1, be managed at such User’s own responsibility. The Company does not warrant the content, quality, safety, or legality of Published Commands, and, except where due to causes attributable to the Company, shall not be liable for any damage incurred by the User themselves, the Discord server into which the Bot has been introduced, Discord End Users, or any third party arising from the content or behavior of an imported Published Command.
  5. Where the Company determines that a Published Command violates Paragraph 2 or does not conform to the listing criteria prescribed by the Company, or where the Company otherwise deems it necessary, the Company may suspend or delete the listing without prior notice to the Publisher.
  6. The provisions of Article 6, Paragraphs 4 and 5 shall apply mutatis mutandis to Published Commands. In such case, “content transmitted by a User’s Bot” in Article 6, Paragraph 4 shall be read as “Published Command”, and “measures to prevent the transmission of such content” shall be read as “measures to suspend or delete the listing of such Published Command”. Requests for deletion of, and claims of rights infringement regarding, Published Commands shall be accepted at the contact point set forth in Article 6, Paragraph 3.

Article 9 (Support)

The Company accepts inquiries from Users regarding the Service at the contact points prescribed by the Company (email and the Discord server operated by the Company) and responds to the extent reasonable. The Company does not warrant the timing or content of any response.

Chapter 6. Prohibited Acts

Article 1 (Prohibited Acts)

In using the Service, Users shall not engage in any act falling under any of the following items.

  • Any act that violates laws and regulations, these Terms, public order and morals, or the various terms established by Discord
  • Creating or operating a Bot for the purpose of sending spam, directing users to phishing sites, Nitro scams, raids, or fraudulent solicitation
  • Mining cryptoassets (virtual currencies) or otherwise consuming the server resources of the Service to a markedly excessive degree
  • Using the external Webhook / HTTP request features of the Service to conduct DoS / DDoS attacks against third parties, port scanning, relaying unauthorized access, or making unauthorized API calls
  • Intentionally circumventing, obstructing, or exceeding the API rate limits, concurrent connection limits, or resource limits of the Service
  • Leaking or publishing confidential information such as Bot Tokens, API keys, or passkeys in a public repository or any other place viewable by an unspecified number of persons
  • Attempting to unlawfully obtain the authentication information of other Users or of the Company (including phishing, fraudulent acts, and misleading inducement)
  • Infringing the intellectual property rights, portrait rights, privacy rights, reputation, or other rights or interests of the Company, other Users, or third parties
  • Scraping data from the Service or reverse engineering the Service without the prior written permission of the Company (except to the extent permitted by laws and regulations)
  • Circumventing, disabling, or interfering with any feature that restricts or prevents the use of the content of the Service, any authentication system, or any other security feature of the Company
  • Modifying the HTML, CSS, JavaScript, or other client-side code of the Service for the purpose of the act set forth in the preceding item or of falsifying data transmitted to the servers of the Service
  • Abusing the Company’s support services, or making false reports regarding unauthorized use
  • Harassment, nuisance, intimidation, or threats against the officers, employees, subcontractors, or other related parties of the Company
  • Using the content or systems of the Service as training data for large language models or other artificial intelligence models
  • Any other act that the Company reasonably determines to be inappropriate

Notwithstanding the preceding items, research conducted in good faith for the purpose of discovering a vulnerability in the Service and reporting it to the contact point prescribed by the Company, which does not affect the data of other Users or other third parties or the provision of the Service, and under which the vulnerability and the information learned in the course of the research are not disclosed or published to third parties until the Company has completed its remediation, shall not constitute an act falling under any of the preceding items, and the Company shall not take legal action on the grounds of such research.

Article 2 (Measures upon Violation)

Where the Company determines that a User has engaged in any act falling under the preceding Article, the Company may, in accordance with Chapter 8, restrict the use of the Service, terminate the registration, or take any other necessary measures.

Chapter 7. Intellectual Property Rights and Handling of Data and AI

Article 1 (Ownership of Rights)

  1. The copyrights, trademark rights, patent rights, design rights, and all other intellectual property rights relating to the Service belong to the Company or to the third parties holding such rights. The license to use the Service under these Terms does not transfer or license any such intellectual property rights to Users.
  2. The copyrights and other intellectual property rights in User Content belong to the User who created such User Content.
  3. The User grants the Company a free, non-exclusive, worldwide right to use the User Content for the provision, operation, maintenance, improvement, and backup of the Service, the investigation of unauthorized use, responses required by laws and regulations, and otherwise to the extent necessary for the provision of the Service. The Company shall not use User Content beyond the purpose of providing the Service.

Article 2 (No Use for AI Training)

The Company shall not use User Content, AI Input Data, the messages of Discord End Users processed by the AI Response Feature (as defined in Article 3, Paragraph 4), or any other data that Users store on the Service as training data for artificial intelligence models of the Company or any third party.

Article 3 (Use of AI Features and Disclaimer)

  1. A User may freely use the output generated by BotShader or other AI features (the “AI Output”) within the scope of these Terms and laws and regulations. The Company does not assert intellectual property rights in AI Output.
  2. Because AI Output is generated through the statistical processing of AI models, it may contain content that differs from fact (so-called hallucinations) or inaccurate information. Users shall not accept the AI Output of BotShader at face value, and shall verify its accuracy at their own responsibility before using it for delivery to Discord or otherwise. With respect to AI Output produced by the AI Response Feature set forth in Paragraph 4, the User acknowledges that its accuracy cannot be verified in advance, shall at their own responsibility determine the scope in which such feature is enabled and select the model to be used, shall comply with the restrictions on use set forth in Paragraph 8, and shall review as appropriate the response content transmitted on Discord and, upon identifying any inappropriate response, take necessary measures such as changing the settings or disabling such feature.
  3. Because AI Output is generated through the statistical processing of AI models, other Users may obtain similar or identical AI Output.
  4. The AI features of the Service include BotShader, which a User uses on the dashboard, and the feature by which a User’s Bot generates responses on Discord (the “AI Response Feature”). The AI Response Feature does not operate unless enabled by the User.
  5. AI Input Data submitted by a User to AI, and, where the AI Response Feature is enabled, the messages of Discord End Users and other information received by such Bot, are transmitted, for the purpose of generating responses, to external AI providers selected by the Company (including those located in foreign countries). The User consents to the sub-entrustment to the AI providers set forth in the Privacy Policy with respect to the handling of the data of Discord End Users entrusted to the Company pursuant to Chapter 5, Article 7, Paragraph 1. Details are set forth in the Privacy Policy.
  6. Where a User enables the AI Response Feature, the User shall, by appropriate means, make it known on the Discord server into which such Bot has been introduced that the Bot’s responses are generated by AI and that the messages of Discord End Users are transmitted to external AI providers for the generation of responses.
  7. Where a User includes in AI Input Data the personal information or confidential information of third parties, or other information that may affect the rights or interests of third parties, the User shall obtain the necessary consents or authority at their own responsibility.
  8. Content generated by the AI Response Feature and transmitted on Discord is treated as content transmitted by the User’s Bot. Users shall not use the AI Response Feature for purposes involving reliance on it as professional advice in fields such as medicine, law, or finance, for purposes primarily targeting minors, for harassment of others, or for any other purpose where the generated content may cause serious damage to third parties, and shall configure moderation settings for response content as necessary.
  9. Users shall not use AI Output for the development, training, or improvement of artificial intelligence models or other services that compete with the Company or with the AI providers used by the Company (meaning the AI providers set forth in the Privacy Policy). Users shall also not use BotShader or other AI features for any purpose that violates the usage policies published by such AI providers or the license conditions established by the providers of the AI models used by the Company (including provisions concerning prohibited uses). The Company will provide references to such usage policies and license conditions in the documentation within the Service or by other means prescribed by the Company.

Article 4 (Feedback)

Where a User provides the Company with any opinion, request, suggestion, or other feedback regarding the Service, the Company may freely use such feedback without bearing any obligation to make payment to the User or any other obligation.

Article 5 (Communication Logs and Maintenance Monitoring)

  1. The Company respects the secrecy of communications in accordance with the Telecommunications Business Act and other relevant laws and regulations.
  2. The Company may mechanically record and review the communication metadata, error logs, and request histories of Bots to the minimum extent necessary for the maintenance and operation of systems, the investigation and restoration of failures, the detection of excessive load, and the investigation of violations of these Terms.
  3. The Company shall implement technical measures so that the information recorded pursuant to the preceding paragraph does not include the body of messages exchanged on Discord or other communication content. Review of such records by the Company’s employees shall be limited to cases necessary for the investigation and restoration of failures and the investigation of violations of these Terms, and the Company shall limit the scope of employees who may review such records.

Article 6 (Backup and Data Loss)

  1. The Company endeavors to perform backups of User Content in the Service, but does not warrant the completeness, accuracy, or currency of such backups.
  2. Users shall back up their User Content themselves as they deem necessary.
  3. The Company’s liability for damages in respect of loss of data due to causes attributable to the Company shall be governed by Chapter 10, Article 2.

Article 7 (Handling of Personal Information)

The Company’s handling of personal information shall be governed by the Privacy Policy separately established by the Company, and Users shall, together with their agreement to these Terms, also agree to the content of the Privacy Policy.

Chapter 8. Restriction of Use, Emergency Suspension (Kill Switch), and Termination of Registration

Article 1 (Immediate Suspension of Use in an Emergency: Kill Switch)

  1. Where the Company determines that a Bot operated by a User or a User’s act falls under any of the following items, the Company may, without prior notice or demand, immediately suspend the operation of such Bot, invalidate the API token, cut off resources, or freeze the account.
  • Where it is imposing excessive load on, or causing failures to, Discord’s servers, the infrastructure of the Service, or third-party systems
  • Where it is being used for spam, phishing, raids, unauthorized access, or other serious security incidents
  • Where a violation of laws and regulations or a material violation of these Terms is found
  • Where it is discovered that the User falls within the anti-social forces described in Chapter 9
  1. Where the Company has taken the measures set forth in the preceding paragraph, the Company shall notify the User without delay, except where doing so is likely to impede the investigation. Where it is found that no cause falling under any item of the preceding paragraph existed, or where such cause has been resolved, the Company shall lift such measures without delay. Refunds of fees corresponding to the period during which such measures continued shall be governed by Chapter 4, Article 2, Paragraph 5.

Article 2 (Restriction of Use and Termination of Registration by Ordinary Procedures)

  1. Where a User falls under any of the following items, the Company may restrict the use of the Service or terminate the registration, upon notice or demand specifying a reasonable period.
  • Where the User has violated these Terms
  • Where the measures under Article 1 have been taken and the cause of such measures is not resolved within the period specified in such demand
  • Where the User fails to perform their payment obligations for fees
  • Where, in the case of a Free Plan account, there has been neither a login to the dashboard nor any record of Bot operation continuously for 12 months
  • Where it is found that there is any false fact in the Registration Matters
  • Where there is no response within a reasonable period to important communications from the Company necessary for identity verification, the confirmation of the country or region of residence set forth in Chapter 12, Article 7, or otherwise for the provision of the Service or the performance of these Terms
  1. The agreement for use of the Service shall terminate upon the termination of registration under the preceding paragraph. The measures under Article 1 shall be provisional measures applicable until the cause of such measures is resolved or until termination of registration or rescission is effected under this Article or Chapter 9, Article 2.

Article 3 (Treatment after Termination)

The treatment of the account and User Content of a User whose registration has been terminated shall be governed by Chapter 4, Article 3 (Withdrawal and Handling of Data after Withdrawal) (excluding Paragraph 3 of that Article), applied mutatis mutandis. In such case, “date of withdrawal” in that Article shall be read as “date of termination of registration”. The settlement of fees accompanying termination of registration shall be governed by Chapter 4, Article 2, Paragraph 5.

Article 4 (Damages)

Where the Company is liable for damage incurred by a User as a result of measures taken by the Company under this Chapter, the amount of such damages shall be governed by Chapter 10, Article 2.

Chapter 9. Exclusion of Anti-Social Forces

Article 1 (Representations and Warranties)

Users represent and warrant that, now and in the future, neither they nor their officers, employees, or other related parties fall within organized crime groups, members of organized crime groups, quasi-members of organized crime groups, companies related to organized crime groups, corporate racketeers, groups engaging in criminal activities under the pretext of conducting social campaigns, crime groups specialized in intellectual crimes, or other persons equivalent thereto (the “Anti-Social Forces”), and that they have no transactional or other relationship with Anti-Social Forces.

Article 2 (Measures upon Breach)

Where a User breaches the representations and warranties set forth in the preceding Article, the Company may immediately rescind the agreement for use of the Service and terminate the User’s registration without any demand.

Chapter 10. Disclaimer of Warranties and Limitation of Liability

Article 1 (Disclaimer of Warranties)

  1. The Company makes no warranty, whether express or implied, as to the fitness of the Service for any particular purpose, its completeness, the absence of bugs, the constant operation of Bots, or its conformity with Discord’s terms.
  2. The preceding paragraph does not relieve the Company of its liability for the conformity of the Service with the content that the Company expressly specifies as specifications on the pricing page and in the documentation within the Service. Non-conformity with such specifications shall constitute a cause attributable to the Company, and the treatment of cases in which the Service is thereby entirely unavailable continuously for 30 days or more shall be governed by Chapter 4, Article 2, Paragraph 2.

Article 2 (Limitation of Liability)

  1. Where the Company is liable to a User for damages due to negligence other than gross negligence (“Ordinary Negligence”), the amount of such damages shall be limited to the higher of the total fees paid by the User to the Company in respect of the Service during the 12 months immediately preceding the date on which the damage occurred, or 10,000 yen.
  2. In the case of Ordinary Negligence, the Company shall not be liable for indirect damages, special damages, consequential damages, incidental damages, or lost profits.
  3. The preceding two paragraphs shall not apply to damage arising from the Company’s willful misconduct or gross negligence.

Article 3 (Exclusion from Application of Disclaimer Provisions)

All provisions of these Terms concerning the Company’s disclaimers, limitations of liability, and scope of liability, as well as the provisions concerning Users’ indemnification obligations owed to the Company, shall not apply to damage arising from the Company’s willful misconduct or gross negligence.
  2. References in these Terms to “the Company’s willful misconduct or gross negligence” (including expressions to the same effect in these Terms) include the willful misconduct or gross negligence of the Company’s representatives and of persons employed by the Company.

Article 4 (Force Majeure)

The Company shall not be liable where the provision of the Service is impaired by natural disasters, war, riots, civil commotion, terrorism, infectious diseases, the enactment or amendment of laws and regulations, orders of public authorities, labor disputes, accidents affecting transportation, failures of communication lines, or other causes beyond the Company’s reasonable control. The effects of events arising from External Services shall be governed by Chapter 5, Article 6.

Chapter 11. Confidentiality

Article 1 (Handling of Confidential Information)

  1. Users and the Company shall not disclose or leak to any third party, without the prior written consent of the disclosing party, any information disclosed by the other party in connection with the use of the Service that is expressly identified as confidential or that is reasonably deemed to be a business secret (the “Confidential Information”). However, this shall not apply where the Company discloses such information, to the extent necessary for the provision, operation, maintenance, and improvement of the Service, to subcontractors bound by confidentiality obligations (including those set forth in the Privacy Policy).
  2. Notwithstanding the preceding paragraph, the following information does not constitute Confidential Information.
  • Information that was already publicly known at the time of disclosure
  • Information that became publicly known after disclosure through no fault of the receiving party
  • Information that was already lawfully in the possession of the receiving party at the time of disclosure
  • Information obtained from a duly authorized third party without any confidentiality obligation
  • Information whose disclosure is required by laws and regulations, court orders, instructions of administrative authorities, or the like

Chapter 12. General Provisions

Article 1 (Amendment of These Terms)

  1. The Company may amend these Terms pursuant to Article 548-4 of the Civil Code.
  2. Where the Company amends these Terms, the Company shall make known the content of the amended Terms and the time at which they take effect, by posting within the Service or on the website, before such time of taking effect arrives.
  3. Where the Company makes an amendment that may have a material impact on Users, the Company shall, no later than 30 days prior to the effective date, notify Users of the content of the amendment and the effective date by transmission to their registered email addresses or other appropriate means, in addition to the posting set forth in the preceding paragraph.
  4. With respect to amendments under the preceding paragraph that exceed the relevance of the purposes of use of personal information, that involve new provision to third parties, that involve new provision to third parties located in foreign countries, or that otherwise require the express consent of Users under applicable laws and regulations, the Company shall obtain the express consent of such Users by the effective date, and shall not apply such amendments to Users who do not consent.
  5. Where a User continues to use the Service on or after the effective date, the User shall be deemed to have agreed to the amended Terms. However, amendments requiring the express consent set forth in the preceding paragraph shall not apply to Users who do not consent thereto.

Article 2 (Notices)

  1. Notices from the Company to Users shall be given by transmission to their registered email addresses or by posting on the dashboard of the Service.
  2. Where the Company sends an email and does not receive a delivery error notification, the notice shall be deemed to have arrived at the time of such transmission; where the Company posts on the dashboard, the notice shall be deemed to have arrived at the time such posting is completed.
  3. With respect to notices concerning amendments to these Terms, fee changes, restrictions of use, termination of registration, and other matters that may cause material disadvantage to Users, the Company shall give such notices both by transmission to registered email addresses and by posting on the dashboard.
  4. Notwithstanding Paragraph 2, where transmission to a registered email address results in a delivery error, the Company may substitute posting on the dashboard for such notice; and where, pursuant to the preceding paragraph, the Company had already posted on the dashboard together with such transmission, such posting shall be deemed to have been substituted for such notice. In these cases, such notice shall be deemed to have arrived upon the lapse of 14 days from such posting.

Article 3 (Assignment of Contractual Status)

  1. Users may not assign, transfer, pledge as security, or otherwise dispose of all or part of their status under these Terms or their rights and obligations under these Terms to any third party without the prior written consent of the Company.
  2. Where the Company transfers the business relating to the Service to a third party (including mergers, company splits, and any other case in which the business is succeeded to), the Company may, in connection with such business transfer, assign to the transferee its status under these Terms, its rights and obligations under these Terms, Users’ Registration Matters, and User Content, and Users consent to this in advance. However, where the transferee falls within a third party located in a foreign country as set forth in Article 28, Paragraph 1 of the Act on the Protection of Personal Information, the provision of Users’ personal data to the transferee is not included in the scope of the consent under this paragraph, and the Company shall, in accordance with that Article and the Privacy Policy, obtain Users’ consent after providing the information set forth in Paragraph 2 of that Article and take the other measures set forth in Paragraph 1 of that Article. Personal data concerning Users who have withdrawn from the Service shall, as a general rule, not be included in the scope of a business transfer.

Article 4 (Severability)

Even if any provision of these Terms or any part thereof is held invalid or unenforceable under laws and regulations or otherwise, the remaining provisions of these Terms and the remaining parts of such provision shall continue in full force and effect.

Article 5 (Entire Agreement)

These Terms constitute the entire agreement between the Company and Users with respect to the matters set forth in these Terms, and supersede any prior oral or written agreements, representations, or understandings between the Company and Users in relation to these Terms.

Article 6 (Language)

  1. The authoritative text of these Terms shall be the Japanese version.
  2. Even where the Company provides a translated version of these Terms, such version is merely a reference translation provided for convenience, and in the event of any discrepancy between the Japanese version and a translated version, the Japanese version shall prevail.

Article 7 (Applicable Region)

  1. The Service is, as a general rule, provided to individuals residing in Japan and corporations having their principal office in Japan.
  2. Where, with respect to use by a resident or business operator outside Japan, the laws and regulations of such country or region impose additional protection requirements exceeding the scope of the Company’s provision of the Service (including the designation of a local representative, independent consent procedures, and registration with the supervisory authority of such country), the Company shall bear no obligation to provide the Service to such User.
  3. The fact that the Company provides translated versions of these Terms does not mean that the Service is provided to any particular country or region.
  4. The Company may require Users to declare their country or region of residence at the time of registration or thereafter. Where the declared country or region of residence is outside the scope of the Company’s provision, the Company may refuse to approve the registration or terminate the registration through the procedures set forth in Chapter 8, Article 2 (Restriction of Use and Termination of Registration by Ordinary Procedures).
  5. Where, after approval of registration, it is found that the declared country or region of residence differs from the fact, the Company may terminate the registration through the procedures set forth in Chapter 8, Article 2 (Restriction of Use and Termination of Registration by Ordinary Procedures). The treatment of fees in such case shall be governed by Chapter 4, Article 2, Paragraph 5.
  6. Where a User’s country or region of residence falls outside the scope of provision as a result of a change by the Company to the countries and regions to which it provides the Service, the Company may, in accordance with Chapter 5, Article 2, Paragraph 2, notify the User no later than 30 days prior to the effective date and terminate the registration as of the effective date. In such case, the Company shall refund to the User the fees corresponding to the unexpired period from the effective date onward.

Chapter 13. Governing Law and Jurisdiction

Article 1 (Governing Law)

The formation, effect, interpretation, and performance of these Terms shall be governed by the laws of Japan.

Article 2 (Jurisdiction)

  1. The Tokyo District Court shall be the exclusive agreed court of first instance for any and all disputes arising out of or in connection with the Service or these Terms between the Company and Users.
  2. Notwithstanding the preceding paragraph, where a User is a consumer under the Consumer Contract Act or other laws and regulations, the User may also file suit in the courts of statutory jurisdiction set forth in Article 4, Paragraph 1 and Article 5 of the Code of Civil Procedure or in other courts permitted under such laws and regulations.
